Emergency Resolution 1: From The Council of Governors

This Convention resolves with immediate effect, to amend the Multiple District 105 Constitution by the addition of a new sub-section (e) to Section 1 of Article I (Objects and Membership) to
read
(e) To promote Lions Clubs International in Ireland.
Explanation:
District 105i wrote to the Council of Governors on 2 January 2017 suggesting that they should have a fair apportionment of the value of assets held by the Multiple District when District 105i leaves MD105 on 4th July 2017 to become District 133 Ireland; as, over time, District 105i had contributed substantially towards these assets.
The Council of Governors sought advice on this matter from legal Counsel, this Opinion was received from Counsel on the 31st March. The advice of Counsel was such that the only way that MD 105 could make any form of payment to the new District 133 Ireland was for the MD105 Constitution to be amended as in the form above. This would then enable Convention to vote upon an Ex Gratia payment to go outside the Multiple District to District 133 Ireland.
Constitutional Note: To be enacted this will require a two thirds majority of those delegates present at Convention who exercise their right to vote.
Emergency Resolution 2: From The Council of Governors
Proposed DG Paul Allen, Seconded DG Steve Shields
This Convention resolves that a one off, Ex Gratia, full and final payment of €25,000 be made in favour of MD 133 Ireland. The sum is to be paid by instalments, to be agreed between MD105 and District 133, such as not to prejudice the financial position of MD105.
Explanation:
District 105i represents approximately 15% of the membership of MD105. The 2016 accounts of MD105 indicate that available unencumbered funds of the MD amounted to approximately £75000. The Self Insurance Fund of MD105, of £100,000, to which District 105i has contributed, is fully represented in the 2016 accounts of MD105 within the value of investments exceeding that amount. Accordingly, in seeking to make an Ex Gratia payment to District 133 in recognition of their past contributions and future friendship, a payment of €25,000 is proposed to approximate very roughly to a 15% share of the unencumbered funds and the Self Insurance Fund.
Constitutional Note: To be enacted this will require simple majority of those delegates present at Convention who exercise their right to vote.
Emergency Resolution 3: From Council of Governors
Proposed DG David McDowell, Seconded DG Fred Broom
This Convention resolves to amend the Multiple District 105 Constitution by the deletion of Article I (Objects and Membership) Section 1 sub-section e. This amendment to take effect on payment of the final instalment of any Ex Gratia payment to District 133 Ireland as agreed by the MD105 Convention of 2017.
Explanation:
The leaving of District 105i was an extraordinary set of circumstances which necessitated the Constitution being amended in order to enable a one off, Ex Gratia, payment being made to District 133 Ireland. This amendment will return the MD Constitution to the usual form following this payment.
